ATT Terms of Service and Purchase
Advanced Translations Technology, Inc.
For ATT websites and services including ProCAT and DepoDash
Version October 26, 2026 | Effective upon publication and required acceptance
IMPORTANT NOTICE: These Terms contain restrictions on competitive access and use, warranty disclaimers, liability limits, and a binding arbitration provision in Section 35. Review them before accepting an account, free trial, order, or service. The separate Single-User Software License Agreement remains unchanged and governs its own subject matter.
1. Parties and Acceptance
Advanced Translations Technology, Inc., a California corporation (“ATT”), provides the websites, platforms, stores, portals, and services that reference these Terms, including ProCAT.com, MyProCAT.com, DepoDash, OmniRecord, and OmniScope. Product and brand names do not create separate contracting parties under these Terms. “You” includes the individual user and any organization the user is authorized to bind. These Terms cover access, accounts, services, and purchases through the covered websites; software and hardware are also subject to their applicable product agreements.
By affirmatively accepting these Terms when registering, starting a free account or trial, placing an order, accepting an invitation, or accessing a feature requiring acceptance, you agree to them. ATT will make applicable terms available before acceptance. If you do not agree, do not complete the registration, transaction, or access. Viewing a public page alone does not authorize recurring charges or create acceptance of a separate software license. You represent that you have authority to enter the applicable transaction and bind the represented organization.
2. Related Policies and Order of Precedence
ATT’s Privacy Policy governs its stated information practices; the Customer Data Security Policy explains safeguards and shared responsibilities. The existing Single-User Software License Agreement and any other applicable product license govern licensed software, activation, copying, users, devices, support, and disputes within their scope. These Terms do not amend that existing license or expand its rights.
A separately signed agreement controls a direct conflict on its subject, followed by an expressly accepted order or purchase agreement and applicable product-specific terms, then these Terms. The applicable software license continues to control software licensing and its dispute provisions. No priority rule overrides mandatory law or authorizes misleading privacy practices. Unaccepted purchase-order boilerplate, email legends, or uploaded instructions do not impose additional obligations on ATT.
3. Eligibility and Accurate Registration
You must be legally capable of entering the applicable agreement and must provide accurate, current identity, organization, affiliation, contact, intended-use, and billing information requested by ATT. Professional hosted accounts are for adults. Student purchases or accounts for minors must be arranged through a parent, guardian, or authorized institution as appropriate.
You must not misrepresent or conceal a material fact to obtain access, a free account, promotional pricing, a trial, or customer-only resources. This includes using a false name or organization, impersonating a customer, obscuring an affiliation when asked, using an intermediary to hide prohibited competitive activity, or describing a competitive evaluation as ordinary customer use. ATT may verify identity, authority, eligibility, and purpose and may deny or suspend access reasonably believed to be unauthorized.
4. Account Security and Authorized Users
You must protect passwords and devices, restrict access to authorized users, use available additional authentication as appropriate, and promptly notify ATT of suspected compromise. You must manage invitations, permissions, and removal of former users. Assigned single-user credentials may not be shared. Supported team functions permit separate authorized users only within purchased entitlements.
You are responsible for activity you authorize and for consequences of your failure to meet these obligations to the extent permitted by law. This does not excuse an independent breach by ATT. ATT may use reasonable identity and entitlement checks and temporarily restrict access where necessary to address suspected fraud or a security threat.
5. Free Accounts and Trials
Free accounts, trials, beta access, and demonstrations are limited permissions for genuine evaluation or use of the disclosed service for your own authorized business or educational purpose. They confer no right to inspect proprietary technology for competitive development, evade paid limits, create repeated accounts for free benefits, or conceal a prohibited purpose. Paid accounts are subject to the same competitive restrictions unless ATT expressly authorizes otherwise in writing.
ATT may limit duration, usage, features, invitations, storage, and eligibility and may discontinue free or beta access subject to disclosed terms and mandatory law. A free trial converts to paid service only under clearly disclosed charges, required consent, and required notices. You must maintain independent copies of important records and export them before access expires. Free access does not imply an archival or availability guarantee.
6. Intellectual Property and Limited Access
ATT and its licensors own the websites, software, documentation, designs, trademarks, and other proprietary materials, excluding Customer Content and third-party materials owned by their respective rights holders. You may view and print public informational pages for legitimate personal or internal business purposes with proprietary notices preserved. No license to resell, mirror, redistribute, or commercially exploit ATT materials is granted unless expressly stated.
Software, drivers, firmware, and licensed resources remain subject to accompanying terms. You may not remove proprietary notices, bypass technical protections, or imply ATT endorsement. Restrictions apply only to the extent permitted by law.
“ATT Technology” includes ATT-owned or licensed code, executable components, interfaces, nonpublic workflows, designs, documentation, system architecture, algorithms, configurations, technical materials, and confidential know-how made available through authorized access. Rights in third-party and open-source components remain subject to their applicable licenses. Customer ownership of Customer Content is preserved; it does not transfer rights in ATT Technology.
7. Reverse Engineering and Competitive Development
Except with ATT’s prior written authorization or to the extent applicable law or an applicable third-party license expressly permits the activity despite this restriction, you must not reverse engineer, decompile, disassemble, decode, reconstruct, translate, derive, or attempt to discover source code, algorithms, nonpublic interfaces, architecture, or underlying methods of ATT Technology; bypass activation, access, usage, or security controls; or remove proprietary notices.
You must not copy, extract, adapt, disclose, analyze, or use ATT code, nonpublic platform access, confidential materials, or other protected ATT Technology to design, train, develop, test, validate, improve, market, or assist a product or service competing with ATT. You must not scrape restricted interfaces, systematically capture workflows for replication, conduct prohibited competitive benchmarking, or direct another person or an automated tool to perform these activities. No access license is granted for those purposes.
These restrictions protect ATT’s technology and authorized access; they do not claim ownership of independently developed technology, a customer’s own transcripts or records, public-domain material, or rights that cannot lawfully be restricted. They do not prohibit an honest review, lawful complaint, legally protected disclosure, or activity affirmatively protected by nonwaivable law. Any legally permitted exception is limited to its lawful scope.
8. Competitors and Prohibited Invitations or Demonstrations
For these Terms, a “Competitor” means a person or entity developing, offering, marketing, or materially assisting development of products or services that compete with the relevant ATT offering, including someone acting on its behalf for that purpose. A reporter, scopist, law firm, agency, or other ordinary customer does not become a Competitor merely by using another supplier’s software.
Without ATT’s prior written authorization, a Competitor or person acting for one may not use an account, trial, invitation, or customer entitlement to inspect, evaluate, benchmark, or access nonpublic ATT functionality for competitive purposes. You must not obtain or maintain access for that purpose by misrepresentation or omission of requested material information.
As a registered user, owner, administrator, or invitee, you must not invite a Competitor into the platform, add one to a job, folder, team, or workspace, share credentials or remote access, or provide a demonstration of nonpublic ATT functionality to a Competitor without ATT’s prior written authorization. The restriction includes live screen sharing, recorded demonstrations, screenshots, exports of proprietary interface materials, and access arranged through another user or intermediary. Invitation controls do not constitute ATT permission for competitive access.
You must take reasonable steps to ensure that people you invite or permit to view nonpublic functionality are authorized for a legitimate service purpose and satisfy these restrictions. Notify ATT promptly if you discover prohibited access and revoke it where you control the permission. A separately agreed demonstration or partnership may authorize defined activities; approval must come from an authorized ATT representative, not merely another customer. This restriction does not prevent lawful delivery of your own work product to a client or a disclosure required or protected by law.
9. Confidential Platform Information
Nonpublic ATT Technology, technical documentation, beta features, private demonstrations, security information, and materials identified as confidential or reasonably understood to be confidential must be protected with reasonable care and used only for the authorized service purpose. You must not disclose them to a Competitor or other unauthorized person, upload them to a public repository or general-purpose AI tool, or reproduce them for competitive development.
This obligation does not cover information you can establish was lawfully public without breach, already lawfully known without restriction, independently developed without use of confidential ATT information, or lawfully received without a confidentiality duty. Legally compelled disclosures must be limited to what is required, with notice to ATT when legally permitted and reasonable. Mandatory whistleblower, statutory immunity, review, and reporting rights are preserved. Confidentiality continues while the information remains protected; trade-secret duties continue as law allows.
10. Restricted Downloads and MyProCAT Resources
MyProCAT.com provides resources only to eligible licensed customers according to their product, license, and support entitlements. Credentials, software, updates, installations, documentation, training resources, and other restricted materials must not be shared, transferred, posted, or provided to an unauthorized user. Downloading does not create another license, authorize extra devices or users, or permit redistribution.
ATT may verify ownership, licensing, support status, and download eligibility and investigate misuse. Enforcement and license-service fees remain subject to the applicable license and disclosed purchase or support terms. These Terms do not independently impose new retrospective software-license charges.
11. Acceptable Use and Security Restrictions
You must not use the websites or services unlawfully; access another customer’s data without permission; upload malware; evade payment or usage limits; interfere with systems; conduct unauthorized vulnerability scans; misuse credentials; scrape restricted data; or reverse engineer protected technology except where applicable law permits it despite a restriction. You must not submit material you lack authority to record, possess, disclose, or process.
ATT may investigate suspected misuse and take proportionate protective action. ATT is not obligated to continuously review all content, and an ability to upload material does not establish its legality.
12. Orders and Acceptance by ATT
Product descriptions, prices, and availability may change before purchase. An order is your offer to buy the identified items on the terms disclosed at checkout. An automated receipt acknowledges submission and is not acceptance unless expressly stated. ATT accepts by an express confirmation or by shipping, delivering, or activating the ordered item. ATT may reject orders for unavailability, fraud concerns, legal restrictions, or material pricing errors and will refund charges for items it does not accept or supply.
ATT will not impose a higher price on an accepted order without your agreement. If an error materially affects an order, ATT will explain available choices rather than charge an undisclosed amount. Keep the confirmation and applicable terms for your records.
13. Prices and Payment
Prices are in the currency disclosed at checkout and exclude taxes, shipping, handling, and other charges unless stated otherwise. The total and payment terms will be disclosed before purchase. You authorize the payment processor to collect authorized charges using your selected method. You must not submit payment information you lack authority to use.
ATT may collect applicable sales or use taxes based on the transaction and destination. Tax-exempt purchasers must provide valid documentation before fulfillment where practicable. You remain responsible for lawful taxes not collected, excluding taxes on ATT’s net income. Promotions cannot be combined unless expressly permitted; generally one coupon or offer applies per transaction. A later price change does not reprice an accepted order.
14. Hardware Shipping and Delivery
Available destinations, charges, and any promised shipment period will be disclosed for the order. ATT will seek to ship within the stated period or, when no period is stated and applicable law so requires, within 30 days after a properly completed order. If ATT cannot meet a required shipment period, it will provide the legally required delay notice and cancellation or refund options. Estimates are not guarantees except where expressly agreed or required by law.
For a commercial shipment contract, title and risk of loss pass when ATT delivers the merchandise to the carrier, except where a signed order provides otherwise. For consumer purchases or other transactions where mandatory law requires a different allocation, that law controls. Software ownership is never transferred by shipment. Report apparent damage, loss, or missing items promptly and preserve packaging so ATT can assist with carrier claims; this request does not shorten mandatory rights.
15. Digital Delivery and Compatibility
Downloads, account credits, licenses, and hosted access may be delivered electronically to the designated account or email address. You must check supported hardware, operating systems, internet access, file formats, and service requirements before purchase. Digital delivery does not transfer ownership of software or remove license restrictions. Support, maintenance, upgrades, training, and recurring license services are included only where expressly stated in the order or applicable plan.
16. Returns and Refunds
A signed purchase agreement or product-specific return policy disclosed and accepted at purchase controls the applicable transaction. Statutory rights concerning defective goods, misdescription, nondelivery, cancellation, and refunds are preserved. Contact ATT at support@procat.com or 818-222-5010 for return instructions before shipment.
Unless different accepted purchase terms apply, eligible ordinary merchandise may be returned under the website’s 15-day return period measured from shipment. Items must be substantially new and unused, with original packaging, components, and proof of purchase. The ordinary return privilege excludes writers, Winner and other licensed software, training, dictionary conversions, rolling bags, and custom carrying cases; those items are governed by their disclosed product terms and any applicable license return provision.
Where a writer or custom carrying-case return is authorized, a 20 percent restocking fee applies if disclosed at purchase. A 10 percent restocking fee applies to refused or unclaimed shipments where disclosed and lawful. These fees are not stacked on the same return. Missing or damaged parts may reduce a voluntary-return refund by the reasonably disclosed value. Training and dictionary-conversion fees are nonrefundable except as law or an express written commitment requires. Rolling bags and other excluded items do not acquire a return right merely because a restocking fee is mentioned.
Shipping and handling and return freight are ordinarily nonrefundable for a voluntary change-of-mind return; ATT will bear or reimburse costs where legally required, including applicable defective or incorrectly supplied merchandise cases. Refunds will be processed promptly through the original payment method where practicable and within legally required periods.
For directly purchased software, the applicable license’s return clause remains controlling, including its ten-calendar-day request period after initial delivery when no other written return policy applies. This website merchandise provision does not eliminate or shorten a license-based return right. Activated licenses, bundles, third-party sales, and financed purchases may have different terms disclosed at purchase.
17. Subscriptions and Annual Commitments
Available plans, included usage, term, billing frequency, taxes, overage rates, and renewal terms will be disclosed at enrollment. A month-to-month subscription and an annual commitment paid monthly are different arrangements. An annual commitment is a twelve-month purchase obligation even if collected in monthly installments, but only where that commitment and its consequences are clearly disclosed and accepted before enrollment.
For an accepted annual commitment, fees for the committed term remain payable if you merely stop using the service, subject to statutory rights and any express termination right. Cancellation of future renewal does not itself cancel a lawfully enforceable current fixed-term payment obligation. Any acceleration of remaining installments must be expressly disclosed and accepted in the applicable annual-plan order and is enforceable only to the extent permitted by law; these Terms do not authorize an undisclosed early-termination penalty.
18. Automatic Renewal and Recurring Charges
Automatic renewal applies only if disclosed before purchase and affirmatively authorized as required by law. The enrollment disclosure will identify the amount or method of calculation, billing frequency, duration, renewal period, cancellation method, and any minimum commitment. ATT will provide a retainable acknowledgment, obtain required separate consent, retain legally required consent records, and send renewal, trial-expiration, annual, and price-change notices when required.
You authorize only the recurring charges described and accepted for the plan. ATT will disclose new rates before they apply and provide cancellation rights and consent mechanisms required by law. A general acceptance of website terms alone does not authorize recurring billing. Trials convert to paid plans only under clearly disclosed terms and required consent and notices.
19. Cancellation and Subscription Refunds
You may turn off future renewal at any time through the available account cancellation control or by contacting ATT at support@procat.com or (800) 966-1221. For online enrollment, ATT will provide a legally compliant online cancellation method without obstructive steps. ATT will confirm the cancellation and its effective date. Customers should retain that confirmation and promptly report errors.
Unless the accepted plan or law states otherwise, month-to-month cancellation takes effect at the end of the paid billing period and annual nonrenewal takes effect at the end of the accepted annual term. Fees are generally nonrefundable for unused time or partial periods, subject to mandatory refund rights, ATT’s material failure to provide the purchased service, and specific written commitments. Cancellation does not prevent collection of charges already lawfully earned.
If ATT terminates paid access for its convenience before the paid term ends and does not provide the purchased service, ATT will refund the unused prepaid portion unless a controlling lawful agreement supplies another remedy. This does not create a refund for termination caused by your material breach. Export required records before access ends; the content-retention period is independent of the subscription period.
20. Usage Charges and Prepaid Credits
Usage-based processing, storage, platform hours, or credits are governed by the rates, measurement rules, expiration provisions, and refund terms disclosed at purchase. ATT will not impose an undisclosed expiration or materially change purchased credit entitlements retrospectively without a lawful basis and required consent. Credits are not a deposit account or a transferable currency. Gift-card and other mandatory consumer protections apply where legally relevant.
21. Archive Storage Fees and Storage Changes
When you direct content into the Archive folder, you request continuing storage at the prevailing rate disclosed for the service. Archive fees, measurement, billing frequency, and any minimum charge must be disclosed before they are incurred. Storage has no fixed expiry while it remains authorized and paid under the account terms, until the data owner or authorized administrator deletes it. Archiving is not the seven-day rotating backup service.
ATT may change storage rates prospectively with required advance notice, cancellation information, and consent where law requires. Continuing storage charges remain subject to the accepted billing arrangement. Deletion stops future storage charges according to the disclosed measurement and billing rules; it does not erase charges already lawfully earned. Turning off a processing subscription does not by itself request deletion of a separately maintained archive, and any separate archive billing must be clearly disclosed and authorized.
If authorized storage payments remain unpaid, ATT may restrict access and, after reasonable notice and opportunity to pay or export where practicable and lawful, terminate storage and delete content. ATT is not required to provide indefinite unpaid storage. Legal holds, required access to regulated records, and mandatory law remain controlling. No undisclosed storage charge or permanent-availability guarantee is created by these Terms.
22. Payment Failures and Disputes
ATT may retry an authorized failed payment and give notice of the outstanding amount. If payment remains overdue, ATT may suspend affected services after reasonable notice unless immediate action is necessary for fraud or security. Suspension does not erase amounts lawfully due. Any late fee, interest, collection charge, or accelerated balance requires an applicable disclosed, enforceable term; none is created by implication.
Promptly contact ATT about billing errors. Nothing restricts good-faith statutory chargeback or payment-dispute rights. ATT may investigate fraudulent payment disputes without treating every dispute as fraud.
23. Customer Content and Processing Permission
You retain your rights in Customer Content. You grant ATT a limited, nonexclusive permission to receive, store, transmit, reproduce, process, and display it only as necessary for the requested service, authorized sharing and support, limited debugging and improvement described in the Privacy Policy and Customer Data Security Policy, and applicable legal obligations. This permission does not transfer ownership or allow sale, unrelated advertising, or unrestricted model training.
You must have the rights and permissions required for recording and upload and determine whether cloud processing is permitted for restricted records. You control invited users and recipients. ATT maintains confidentiality as described in its Policy but does not assume your protective-order, sealing, privilege, official-record, or retention obligations merely by providing a service. Special requirements and BAAs require advance review and a signed agreement. Do not submit material through an unauthorized workflow.
24. Automated Output and Reporter Responsibility
Speech recognition, transcription, translation, alignment, comparison, summarization, and suggested-edit functions produce assistance and drafts. They can omit speech, misidentify words or speakers, lose context, insert content never spoken, or produce fabricated statements sometimes called hallucinations. Outputs are not a certified record or a guarantee of accuracy.
The responsible reporter or other qualified professional must independently review source material, correct omissions and errors, verify speaker assignments and other relevant details, and ensure the final transcript meets applicable professional and legal requirements before certification, delivery, or reliance. ATT tools do not replace professional judgment. Liability remains subject to the governing agreement and mandatory law; ATT does not guarantee error-free output.
25. Active Storage Archive Recycle Bin and Backups
You control movement of content among supported active folders, Archive, and recycle bin. Subject to account terms, active content remains until archived, deleted by its owner or authorized administrator, or removed under a disclosed contractual or legal condition. The Archive retains content without a fixed expiry at the prevailing disclosed storage fee until owner or administrator deletion, subject to payment, service terms, and law.
Deleting an active item moves it to the recycle bin, where retention ends no later than 30 calendar days after the file or job’s original creation date recorded in the platform. The clock does not start when you delete it and is not restarted merely by moving, editing, or restoring the same item. An item deleted on day 25 may have only five days remaining; an item already at least 30 days old may have no recycle-bin recovery period. Available permanent deletion may remove it sooner. Do not treat the recycle bin as a preservation service.
Deleting an archived item removes it from live archive storage without a promised additional recycle-bin period. ATT performs nightly backups and retains ordinary backup data for seven days. Residual backup copies expire within seven days after permanent deletion from all live storage, including the recycle bin where applicable. While content remains in the recycle bin it may continue to be backed up; the seven-day residual period starts at permanent live deletion, not merely the initial delete action.
A binding legal hold or necessary legal preservation may extend specific retention as stated in the Privacy and Customer Data Security Policies. Necessary account, tax, licensing, and other business records follow their lawful purposes. Customers and independent recipients control their own exported copies. These Terms do not promise forensic deletion certification or access to individual backup snapshots.
You must keep independent copies of official records, evidence, dictionaries, audio, transcripts, and other required material and export them before permanent deletion or loss of access. ATT does not promise restoration, zero data loss, perpetual active storage, or compliance with your record-retention duties. Backup protection is not a substitute for your own preservation responsibilities or a paid archive. Mandatory deletion rights and required legal preservation remain applicable.
26. Support and Service Changes
Support and maintenance are provided only to the extent included in your order or support plan. ATT may maintain and update services, change technical requirements, and temporarily interrupt access for maintenance, security, outages, or matters outside reasonable control. No uptime level or service credit is promised unless expressly agreed.
ATT will provide reasonable notice of material reductions to an ongoing paid service where practicable and any notice, consent, cancellation right, or refund required by law or the accepted agreement. Website edits do not retroactively remove purchased entitlements. Beta features may have additional disclosed limitations; mandatory rights and express confidentiality commitments remain applicable.
27. Public Reviews and Feedback
Public reviews must reflect honest experience and must not include confidential proceeding material, unlawful disclosures, or rights-infringing content. You grant ATT permission to display a review you intentionally submit for publication, reproduce it in connection with the relevant service, and make formatting edits that do not misrepresent its meaning. ATT may remove unlawful or inappropriate public material. Private support uploads and proceeding content are not public reviews.
ATT may use voluntary product suggestions to improve its offerings without compensation, but this does not authorize use of confidential content or overriding content restrictions. Nothing prohibits honest reviews or imposes a penalty for a lawful negative review. Separate promotional reuse of an identified testimonial or logo requires the consent described in Section 28.
28. Customer Lists and Publicity
ATT will not use your logo, identifying marks, or testimonial for promotion without prior written permission. ATT may include an organization’s name in a general customer list unless the organization requests exclusion in writing. Email privacy@procat.com identifying the organization and account to request exclusion; ATT will record and honor it. Unsubscribing from marketing messages is a separate choice and does not automatically record a customer-list restriction. These choices do not prevent internal records or necessary service communications.
29. Third Parties and Communications
Independent third-party websites, products, carriers, and customer-selected integrations have their own terms. ATT does not warrant their independent conduct. ATT’s use of a provider to perform ATT obligations does not eliminate duties ATT owes under applicable law or its agreements.
ATT may send account, order, billing, security, and other required communications electronically where lawful. Any legally required electronic-record consent will be obtained separately. Marketing unsubscribe requests will be honored; necessary service notices may continue. Optional SMS is subject to disclosed consent, STOP and HELP controls, and carrier charges. Do not send sensitive proceeding content by ordinary SMS.
30. Suspension Termination and Enforcement
ATT may investigate and suspend or terminate affected accounts, free access, invitations, downloads, or services for material breach, fraudulent registration, unauthorized competitive access, prohibited demonstrations, code misuse, circumvention, unlawful disclosure, nonpayment, or a material security threat. Immediate action without a cure period may be taken where reasonably necessary to protect technology, data, customers, or services, or for an incurable breach. In other cases ATT will provide reasonable notice and an opportunity to cure where practicable and appropriate.
ATT may request reasonable verification, revoke particular invitations, restrict sessions, and preserve relevant logs for lawful investigation and claims, consistent with its Privacy Policy. Account termination does not transfer ownership of Customer Content, authorize its public disclosure, or erase mandatory privacy duties. Accrued charges and an accepted fixed-term obligation remain due to the extent lawful; ATT may pursue actual damages and other remedies without an invented automatic penalty.
Unauthorized competitive access, misuse of code, or disclosure of confidential technology may cause harm not adequately remedied by money alone. ATT may seek appropriate interim or permanent injunctive relief and other available remedies, subject to proof, applicable law, and the dispute provisions. This statement does not eliminate a court’s required findings or bond requirements.
Ending platform access does not independently terminate a separately purchased Windows software license except as its governing license permits. Ownership, confidentiality, competitive-use restrictions, accrued payment obligations, limitations, dispute provisions, and duties intended to survive continue according to their terms. A refund is not owed merely because ATT properly terminates access for your material breach, subject to nonwaivable law. Content handling follows the Policies and any controlling agreement.
31. Warranties and Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBSITE INFORMATION AND SERVICES ARE PROVIDED AS IS AND AS AVAILABLE WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ATT DOES NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE OUTPUT, UNIVERSAL COMPATIBILITY, OR COMPLETE ELIMINATION OF SECURITY RISK.
This disclaimer does not negate an express written product warranty, an accepted service commitment, ATT’s express confidentiality obligations, or nonwaivable rights. Hardware and software warranty terms in the applicable purchase documents and licenses govern those items. No statement here excludes a warranty that applicable law prohibits ATT from disclaiming.
32. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATT AND ITS OFFICERS, EMPLOYEES, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, OR GOODWILL; BUSINESS INTERRUPTION; LOSS, CORRUPTION, RECONSTRUCTION, OR DISCLOSURE OF DATA; OR SUBSTITUTE-SERVICE COSTS, ARISING FROM THE COVERED WEBSITES OR SERVICES, REGARDLESS OF LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATT’S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID ATT FOR THE PARTICULAR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE EVENT, OR, FOR A ONE-TIME MERCHANDISE PURCHASE, THE AMOUNT PAID FOR THAT PURCHASE. For free access, that service-fee amount may be zero to the extent lawful. A separate applicable software license or signed agreement controls its own liability allocation and is not amended here.
These limitations apply even if a limited remedy fails of its essential purpose. They do not exclude liability for fraud, willful misconduct, gross negligence, personal injury, statutory remedies, or any other liability to the extent applicable law prohibits limitation or exclusion. ATT’s stated confidentiality and data duties remain subject to law. No provision guarantees that all privacy or security claims are barred or waives nonwaivable consumer rights.
33. Third Party Claims
To the extent permitted by law, you will defend and indemnify ATT against third-party claims and reasonable resulting costs arising from your unlawful upload or disclosure of content, infringement of another’s rights, or material misuse of the services. This obligation applies only to the extent caused by your conduct or breach, and not to ATT’s own negligence, misconduct, or breach of its obligations.
ATT will provide reasonably prompt notice and reasonable cooperation, permit an appropriate defense, and not settle a claim imposing obligations on you without consent not unreasonably withheld. You may not settle a claim admitting ATT fault or imposing nonmonetary duties on ATT without ATT’s written consent. This clause does not create a fee penalty for an honest review or lawful exercise of a consumer right.
34. Governing Law and Informal Resolution
California law and applicable federal law govern, without displacement of mandatory protections that apply to you. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The Federal Arbitration Act governs the arbitration provision below.
The parties should first seek a good-faith resolution by written notice identifying the account, issue, and requested relief. Send notice to ATT at support@procat.com and its mailing address below. This request does not impose a mandatory waiting period that defeats a limitation period, prevent urgent relief, or bar a regulator complaint. Both parties remain subject to the same dispute framework except where a controlling accepted agreement applies.
35. Binding Arbitration and Available Court Remedies
EXCEPT FOR MATTERS DESCRIBED BELOW, YOU AND ATT MUTUALLY AGREE THAT DISPUTES ARISING FROM THESE TERMS, THE COVERED ACCOUNTS, WEBSITES, SERVICES, OR PURCHASES WILL BE RESOLVED BY FINAL AND BINDING ARBITRATION RATHER THAN A JUDGE OR JURY IN COURT. The separately accepted Single-User Software License Agreement continues to govern arbitration and other disputes within its scope; this provision does not replace or modify that agreement.
Arbitration under these Terms will be administered by JAMS before one neutral arbitrator under its Comprehensive Arbitration Rules and Procedures and, when applicable, its Consumer Arbitration Minimum Standards. Rules and standards are available at www.jamsadr.com. The legal seat is Los Angeles County, California, but the location and hearing arrangements must not prevent a consumer’s reasonable access. Remote proceedings or another lawful location will be used as required by governing law and applicable JAMS standards. Relevant nonprivileged discovery and a reasoned written award will be available.
Either party may bring an eligible claim in a competent small-claims court, seek temporary or preliminary court relief to preserve the status quo or prevent immediate irreparable harm pending arbitration, or pursue relief that applicable law makes nonarbitrable. Nothing prevents reporting to authorities, legally protected disclosures, or obtaining nonwaivable public injunctive relief in a competent forum. The arbitrator may award remedies available under applicable law. A court may enforce an award where it has jurisdiction.
Arbitration costs will be allocated under governing law and applicable JAMS standards. ATT will pay amounts those standards or law require it to pay, and a consumer will not bear costs or ATT attorneys’ fees prohibited by law or the applicable consumer standards. For a commercial dispute, the prevailing party may recover reasonable attorneys’ fees and costs where legally permitted. This paragraph does not penalize an honest review or good-faith exercise of a statutory right.
If this arbitration provision is unenforceable for a particular claim, that claim may proceed in the state courts of Los Angeles County or the United States District Court for the Central District of California if federal jurisdiction exists, subject to mandatory venue and small-claims rights. The remainder remains effective to the extent lawful. This section does not impose a separate class-action waiver or contractual waiver of a nonwaivable remedy.
36. Export and Geographic Restrictions
Offerings are primarily directed to United States customers unless ATT agrees otherwise. You are responsible for laws applicable to your location and use, including export controls and sanctions. You must not access, export, re-export, transfer, or use an offering for a prohibited person, destination, or end use. Availability of a website does not establish that a product is lawful or supported in every location. ATT may restrict access or fulfillment as legally necessary. The Privacy Policy governs disclosures about processing locations; this paragraph does not promise exclusive United States processing.
37. Changes Assignment and General Provisions
ATT may revise these Terms for future transactions and prospective service use with legally required notice and assent. Material changes affecting existing accounts will be communicated through reasonable notice, including email where appropriate. Posting alone does not authorize new recurring charges, remove a paid license right, or alter an existing purchase retrospectively. Existing orders remain subject to the terms accepted for them except for lawful agreed changes.
ATT may assign the relevant agreement in a merger, reorganization, or transfer of the business or assets, subject to existing obligations and law. Information transfers and material privacy changes are governed by the Privacy Policy and Customer Data Security Policy. You may not transfer an account or license contrary to its governing terms without required consent.
These Terms and the applicable accepted documents constitute the agreement on their subjects. Invalid provisions will be limited or severed as legally appropriate without eliminating remaining lawful terms. Failure to enforce is not a waiver. Rights or accounts may not be assigned by you contrary to their governing terms without required consent. No waiver or modification by an unauthorized representative binds ATT. Extraordinary events outside reasonable control may excuse delay to the extent law permits, but not eliminate mandatory refunds, accrued payment duties, or legally required data safeguards.
No general release of unknown claims is required. Nothing creates a partnership, fiduciary relationship, or agency between ATT and a customer or gives unrelated third parties rights to enforce the agreement. Disclosed providers may invoke protections expressly intended for them to the extent lawful. ATT may update security and service operations while honoring accepted commitments and required notice. New substantive restrictions require the notice and assent required for their application to existing accounts.
